II (Nasdaq: SAMA) (the “Company”) today announced that it will redeem all of the outstanding shares of its Class A common stock issued as part of the units sold in the Company’s initial public offering (the “public shares”), effective as of the close of business on October 11, 2023 (the “Redemption Date”), because the Company’s board of directors (the “Board”) has determined that the Company will not be able to consummate an initial business combination within the time period set forth in the Company’s amended and restated certificate of incorporation, as amended (the “Charter”).
